Terms of Service

1. About WiseGPT and the Operator

WiseGPT ("the Service", "we", "us") is operated by Bence Borbély, a sole trader based in the European Union ("Operator", "I"). The Service is accessible at wisegpt.app and its subdomains.

WiseGPT is an AI-assisted content-analysis platform that extracts structured insights (summaries, ideas, quotes, predictions, and other patterns) from YouTube videos, uploaded audio and video files, PDFs and documents, web pages, and pasted text (collectively, "Content").

2. Acceptance of Terms

By creating an account or otherwise using the Service you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you must not use the Service.

These Terms form a legally binding contract between you and the Operator. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

3. Eligibility

To use WiseGPT you must:

• Be at least 16 years of age. We do not knowingly provide the Service to persons under 16. If you are between 16 and 18, you must have parental or guardian consent where required by the law of your country of residence.
• Have the legal capacity to enter into binding contracts under applicable law.
• Not be subject to any sanctions or export-control restrictions that would prohibit you from using the Service.

We request your date of birth during registration solely to verify age eligibility. We do not use it for profiling, targeting, or marketing purposes.

4. Account Registration

You must register for an account to use the Service. You may register using an email address and password (verified via AWS Cognito) or using your Google account via Google OAuth 2.0. You are responsible for:

• Providing accurate, current, and complete registration information.
• Maintaining the confidentiality of your password and account credentials.
• All activity that occurs under your account, whether or not authorised by you.
• Notifying us immediately at support@wisegpt.app if you suspect unauthorised access to your account.

You may not create more than one account per person, share your account with others, or transfer your account to another party.

5. Plans, Pricing, and Billing

The Service is offered under two subscription tiers:

• Free plan — Up to 10 content extractions per calendar month, limited to a subset of analysis patterns. No payment is required.
• Premium plan — Unlimited extractions per month and access to all analysis patterns, billed at $9.99 USD per month as a recurring subscription.

Payment for the Premium plan is processed by Stripe, Inc., a third-party payment processor. By subscribing you authorise Stripe to charge the payment method you provide on a recurring monthly basis until you cancel. We do not store your full card number; Stripe stores and handles all sensitive payment data under their own terms and PCI-DSS compliance programme.

All prices are stated in US Dollars. Applicable taxes (including VAT where required by law) may be added at checkout. The total amount will be displayed before you confirm your purchase.

We reserve the right to change subscription pricing at any time. Price changes will be communicated to active subscribers at least 30 days in advance by email. Continued use of the Premium plan after the effective date of a price change constitutes your acceptance of the new price.

6. Cancellation and Refunds

You may cancel your Premium subscription at any time through the Billing section of your profile, which opens the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period; you retain Premium access until that date.

14-day money-back guarantee. If you are not satisfied with your Premium subscription, you may request a full refund within 14 days of the initial charge by emailing support@wisegpt.app with the subject line "Refund request". This guarantee applies to the first month's charge only; subsequent renewal charges are non-refundable. Refunds are issued to the original payment method and are typically processed within 5–10 business days.

EU / EEA consumers — right of withdrawal. If you are a consumer based in the EU or European Economic Area, you have the right to withdraw from your subscription contract within 14 calendar days of first payment without giving any reason, under the EU Consumer Rights Directive (2011/83/EU). To exercise this right, contact us at support@wisegpt.app before the 14-day period expires. If you have already made use of the Service during that period, we may proportionately reduce the refund to reflect the value of service already delivered, in accordance with Article 14(4) of the Directive.

7. Acceptable Use

You agree not to use the Service to:

• Submit, extract, or analyse Content that you do not have the legal right to process, including Content protected by copyright, trade secrets, or other third-party rights without appropriate authorisation.
• Circumvent, reverse-engineer, or attempt to disable any security, access control, or rate-limiting mechanism of the Service.
• Scrape, crawl, or use automated tools to access the Service in a manner that imposes an unreasonable load on our infrastructure.
• Upload malicious files, malware, or Content designed to damage, disrupt, or interfere with the Service or other users.
• Share, sell, or otherwise transfer your account or subscription to another person.
• Use the Service to generate or distribute content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Violate any applicable law or regulation, including data-protection, privacy, and intellectual-property laws.
• Misrepresent the AI-generated outputs as your own original work in contexts where that would be misleading, fraudulent, or in breach of an institution's academic integrity policy.

We reserve the right to suspend or terminate accounts that violate these rules without prior notice or refund.

8. Your Content

Ownership. You retain all intellectual property rights in Content you submit to the Service. We do not claim ownership of your Content.

Licence to process. By submitting Content you grant us a limited, non-exclusive, worldwide, royalty-free licence to process, store, and transmit that Content solely to the extent necessary to provide the Service to you. This licence terminates when you delete the relevant extraction or close your account.

Your responsibility for Content rights. You represent and warrant that you have all necessary rights, licences, and permissions to submit Content to the Service and to have it processed as described here. You are solely responsible for ensuring that your use of the Service does not infringe the intellectual property or other rights of third parties. This includes, but is not limited to:

• YouTube videos — your use must comply with YouTube's Terms of Service and applicable copyright law. Extracting insights from a video does not in itself grant you rights to reproduce or redistribute the original creators' work.
• Web pages — you are responsible for ensuring you have the right to process the content of any URL you submit.
• Uploaded files — you must own or have a lawful licence to the content of any file you upload (video, audio, PDF, document, etc.).

Uploaded files. Files you upload (video, audio, or documents) are stored temporarily on our servers solely for the purpose of processing and are deleted automatically once processing is complete. Extracted results may be cached temporarily to avoid redundant processing; you can delete them at any time from your profile.

9. Intellectual Property

The WiseGPT name, logo, website design, software, and all non-user-generated content are the property of the Operator and are protected by copyright, trademark, and other applicable laws. You may not copy, modify, distribute, sell, or create derivative works of any part of the Service without our prior written consent.

Extraction results produced by the Service (summaries, idea lists, quotes, etc.) are derived from your Content using AI models. We do not claim ownership of those outputs. You are free to use them subject to any restrictions imposed by applicable law and the rights of the original content creators.

10. AI-Generated Output Disclaimer

The Service uses artificial intelligence models — including the Fabric framework and OpenAI language models — to generate content analysis outputs. You acknowledge that:

• AI-generated outputs may contain errors, inaccuracies, omissions, or hallucinations. They do not constitute professional advice of any kind.
• Outputs should be independently verified before being relied upon for any consequential decision, including professional, financial, medical, legal, or academic purposes.
• The accuracy of transcription (for audio/video content) and extraction depends on the quality of the source material, language, audio clarity, and other factors outside our control.
• AI capabilities and the underlying models may change over time, which may affect the nature or quality of outputs.

We make no warranty that the outputs will be accurate, complete, fit for any particular purpose, or free of bias.

11. Third-Party Services

The Service integrates with or relies on the following third-party providers. Your use of the Service is also subject to their respective terms:

• AWS Cognito (Amazon Web Services) — user authentication and identity management.
• Stripe, Inc. — payment processing for Premium subscriptions.
• OpenAI — language-model processing for grammar correction and translation features.
• Google LLC — Google Sign-In (OAuth 2.0) and YouTube transcript retrieval.

We are not responsible for the availability, conduct, or content of these third-party services. We are not liable for any harm, loss, or damage arising from your use of or reliance on them.

Note on YouTube content. We retrieve transcripts from YouTube using publicly available APIs. This functionality is not endorsed by or affiliated with YouTube or Google LLC. Your use of extracted YouTube content must comply with YouTube's Terms of Service and applicable copyright law.

12. Privacy and Data Protection

We collect and process personal data about you as described in our Privacy Policy, which is incorporated into these Terms by reference. Please read it carefully.

The Operator is subject to the EU General Data Protection Regulation (GDPR). Personal data you provide (name, email, date of birth, billing information, usage history) is processed on the lawful bases of contract performance and, where applicable, legitimate interests. Data may be transferred to and processed in the United States via AWS (us-west-2 region), Stripe, OpenAI, and Google, subject to appropriate safeguards.

EU/EEA residents have the right to access, correct, erase, restrict, or port their personal data, and to object to processing, by contacting us at support@wisegpt.app.

13. Service Availability

We aim to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be unavailable due to scheduled maintenance, unexpected outages, infrastructure failures, or events outside our control. We will endeavour to notify users of planned downtime where practicable.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. If we permanently discontinue the Service, active Premium subscribers will be entitled to a pro-rated refund for unused subscription time.

14. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

Nothing in these Terms limits statutory rights that cannot be waived or excluded under the law applicable to you, including consumer rights available to EU residents.

15. Limitation of Liability

To the maximum extent permitted by applicable law, the Operator's total aggregate liability to you for any claim arising out of or relating to the Service or these Terms shall not exceed the greater of:

• the total fees paid by you to WiseGPT in the three (3) months immediately preceding the event giving rise to the claim; or
• $50 USD.

In no event shall the Operator be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or reputational harm, even if advised of the possibility of such damages.

This limitation does not apply to: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded or limited under applicable EU consumer law.

16. Indemnification

You agree to defend, indemnify, and hold harmless the Operator from and against any claims, damages, costs, and expenses (including reasonable legal fees) arising out of:

• your breach of these Terms;
• your violation of any applicable law or third-party rights;
• Content you submit to the Service that infringes the intellectual property or other rights of any third party.

17. Termination

By you. You may close your account at any time by contacting us at support@wisegpt.app. If you hold an active Premium subscription, closing your account cancels that subscription. You will retain access until the end of the current billing period; no partial refund is issued for the remaining days unless required by applicable law.

By us. We may suspend or terminate your account and access to the Service immediately and without prior notice if we reasonably believe you have violated these Terms or applicable law, or if continued access poses a risk to the Service or other users. We will notify you by email where practicable.

Effect of termination. Upon termination, your right to use the Service ceases immediately. Sections 8 (licence terminates but your ownership is unaffected), 9, 10, 14, 15, 16, and 19 survive termination. We will delete your personal data in accordance with our Privacy Policy.

18. Changes to These Terms

We may update these Terms from time to time. For material changes (including price changes, significant restrictions on use, or changes to your legal rights), we will notify active users by email at least 30 days before the changes take effect. For minor or administrative changes, we will update the "Last updated" date at the top of this page.

If you do not accept the new Terms, you may close your account before the effective date. Your continued use of the Service after that date constitutes acceptance of the revised Terms.

19. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Hungary and, where applicable, European Union law, without regard to conflict-of-law principles.

If you are a consumer resident in an EU member state, you also benefit from the mandatory consumer-protection provisions of the law of your country of residence, which may afford you additional rights that cannot be overridden by a choice-of-law clause.

We encourage you to contact us first to resolve any dispute informally. EU consumers have the right to use the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr.

If a dispute cannot be resolved informally or through ODR, it shall be subject to the exclusive jurisdiction of the competent courts of Hungary, unless you are a consumer entitled under applicable law to bring proceedings in your own jurisdiction.
